Terms and Conditions

Welcome to WebElite Digital Private Limited (“WebElite ”). These terms and conditions (“Terms”) govern your use of our website development services, including any related products and services (collectively referred to as the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

1. Services

1.1 Website Development: We offer website development services tailored to meet your specific requirements. Our team of skilled professionals will work closely with you to design and develop a website that aligns with your business objectives.

1.2 Project Scope: The scope of work for each project will be defined in a separate agreement or proposal (“Project Agreement”). The Project Agreement will outline the project timeline, deliverables, pricing, and any other relevant details. Both parties must agree to the Project Agreement before we commence work on the project.

1.3 Content and Materials: You are responsible for providing all necessary content, materials, and information required for the development of your website. It is your responsibility to ensure that all content and materials provided do not infringe any third-party rights, including copyright, trademarks, or intellectual property rights.

1.4 Revisions and Changes: We strive to meet your expectations and provide satisfactory results. However, any major changes or revisions to the project scope may incur additional charges and require a revised Project Agreement. 2. Payment Terms

2.1 Fees and Payments: The pricing for our Services will be specified in the Project Agreement. Payment terms, including the schedule and method of payment, will also be outlined in the Project Agreement. All fees are non-refundable unless otherwise stated.

2.2 Taxes: You are responsible for any applicable taxes, including goods and services tax (GST), value-added tax (VAT), or any other applicable taxes or duties imposed by the relevant authorities.

3. Intellectual Property

3.1 Ownership: Upon receipt of full payment, we transfer to you the intellectual property rights to the website developed specifically for you. However, any pre-existing elements, including software, code libraries, and design templates, will remain the property of WebElite or its licensors.

3.2 Third-Party Materials: If we use third-party materials, such as stock images or licensed software, in the development of your website, their respective ownership and licensing terms will apply.

4. Confidentiality

Non-Disclosure: Any confidential information shared between the parties during the course of the project must be kept confidential. This includes, but is not limited to, project details, trade secrets, and business strategies. Both parties agree not to disclose any confidential information without the written consent of the other party, except as required by law.

5. Limitation of Liability

5.1 Disclaimer: Our Services are provided on an “as-is” and “as available” basis. We do not guarantee that our Services will be error-free, uninterrupted, or meet your specific requirements. To the fullest extent permitted by law, WebElite Digital disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

5.2 Limitation of Liability: WebElite, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the use or inability to use our Services or the website developed. Our total liability for any claim relating to the Services or the website developed shall not exceed the amount paid by you for the specific project.

Disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Governing Law and Jurisdiction

6.1 These Terms shall be governed by and construed in accordance with the laws of India

6.2 Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, interpretation, breach, or termination thereof, shall be settled by arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act. The arbitration proceedings shall be conducted in English, and the seat of arbitration shall be in Lucknow, India. The decision of the arbitrator shall be final and binding on both parties.

7. Amendments

WebElite Digital reserves the right to modify or revise these Terms at any time, without prior notice. Any changes to the Terms will be effective immediately upon posting on our website. Your continued use of our Services after any modifications to the Terms constitutes your acceptance of the revised Terms.

8. Termination

8.1 Either party may terminate the agreement for Services at any time by providing written notice to the other party. Upon termination, you shall pay for all outstanding fees and charges incurred up to the effective date of termination.

8.2 Upon termination, WebElite Digital shall no longer be obligated to provide any further Services, and you shall have no further rights to use the website developed by us.

9. Severability

If any provision of these Terms is deemed invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

10. Entire Agreement

These Terms constitute the entire agreement between you and WebElite regarding the subject matter herein and supersede all prior agreements, understandings, or representations, whether oral or written.

By accessing or using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, please refrain from using our Services.
